• Acceptance of Quotes

  • All quotes provided by Coulter are subject to acceptance by the recipient. A purchase order or equivalent documentation may confirm acceptance.​

  • Acceptance of a quote implies agreement to abide by these purchasing terms and conditions.

• Pricing

  • Prices quoted are valid for 30 days from the date of the quote.​

  • Coulter reserves the right to adjust prices due to changes in market conditions, supplier costs, or other factors beyond our control.

  • The quote will clearly state any applicable taxes, duties, or shipping fees.

• Payment Terms

  • Payment Terms Net 30 unless otherwise specified in the quote​ or invoice. 

  • Invoices are payable in the currency indicated on the invoice.

  • Late payments may be subject to interest charges or collection fees as permitted by law.

• Delivery and Shipping

  • Delivery dates are approximate and subject to change based on availability and other factors.​

  • Shipping terms (e.g., FOB, CIF) will be specified in the quote.

  • The risk of product loss or damage passes to the customer upon delivery.

• Quality Assurance

  • Coulter is committed to delivering products and services that meet high-quality standards.​

  • Any discrepancies or defects should be reported promptly, and we will work to resolve them by our warranty and return policies.

• Cancellations and Returns

  • Orders may be canceled before materials for project(s) are ordered, subject to applicable cancellation fees.​

  • Coulter must authorize returns, which are subject to our return policy.

• Confidentiality

  • Both parties must treat any proprietary or confidential information exchanged during the purchasing process as such.​

• Governing Law

  • These purchasing terms and conditions shall be governed by and construed by the laws of the State of Indiana.​

  • Any disputes arising from or related to these terms shall be resolved through negotiation or mediation before pursuing legal action.

• Modification of Terms

  • ​Coulter reserves the right to modify these purchasing terms and conditions with notice to the customer.
